ABSTRACT: The legal nature of the Participation agreement has been widely discussed by scholars and courts in Spain.This comment focuses on this discussion, particularly in the light of the draft Commercial Code currently under preparation. The proposed draft clarifies that this contract should be classified as a Business Law contract, independent from Company Law.
